These Terms of Service (“Terms”) govern your access to and use of the website, consulting services, cybersecurity services, and related offerings (collectively, the “Services”) provided by Asylum X Cybersecurity Division INC. (“Asylum X,” “we,” “us,” or “our”).

By accessing our website or engaging our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use our Services.


1. Scope of Services

Asylum X provides professional IT consulting, cybersecurity advisory, assessment, and managed services to businesses and organizations. Specific services, deliverables, timelines, and fees are defined in:

  • Written proposals
  • Statements of Work (“SOWs”)
  • Master Service Agreements (“MSAs”)
  • Consulting or service contracts

In the event of a conflict, a signed agreement or SOW shall control over these Terms.


2. Eligibility

You represent that:

  • You are at least 18 years old
  • You have the authority to bind the organization you represent
  • All information you provide to us is accurate and current

3. Client Responsibilities

You agree to:

  • Provide timely, accurate, and complete information required for service delivery
  • Maintain appropriate backups of systems and data unless otherwise agreed in writing
  • Ensure Asylum X is granted authorized access to systems, networks, and environments
  • Comply with all applicable laws and regulations related to your systems and data

Failure to meet these responsibilities may impact service delivery and outcomes.


4. Authorized Access & System Interaction

When providing IT or cybersecurity services, Asylum X may:

  • Access systems, networks, logs, configurations, or data strictly as authorized
  • Perform diagnostics, assessments, testing, monitoring, or remediation activities

We do not assume ownership or control of client systems and act solely as an authorized service provider.


5. Fees, Billing, and Payment

Fees and payment terms are specified in written agreements or invoices.

Unless otherwise stated:

  • Invoices are due within [X] days of issuance
  • Late payments may incur interest or service suspension
  • All fees are non‑refundable except as expressly agreed in writing

You are responsible for applicable taxes, excluding our income taxes.


6. Confidentiality

Each party agrees to protect confidential information disclosed by the other, including but not limited to:

  • Network designs and architectures
  • Security findings and reports
  • Credentials, access methods, and system data
  • Business, financial, and operational information

Confidential information shall not be disclosed except as required by law or permitted in writing.


7. Data Protection & Privacy

Our handling of personal and business information is governed by our Privacy Policy, which is incorporated by reference into these Terms.

Client data accessed during engagements is:

  • Used solely for service delivery
  • Protected using commercially reasonable safeguards
  • Never sold or used for marketing purposes

8. Intellectual Property

a. Our Intellectual Property

All methodologies, tools, documentation templates, reports, processes, trademarks, and website content remain the intellectual property of Asylum X unless otherwise stated in writing.

b. Client Materials

You retain ownership of your data, systems, and proprietary information.

c. Deliverables

Unless otherwise specified, deliverables are licensed to the client for internal business use only and may not be resold or redistributed without written consent.


9. No Guarantee & Professional Disclaimer

While we apply industry best practices, you understand and agree:

  • Cybersecurity and IT risk can never be eliminated entirely
  • No service guarantees complete protection against breaches, failures, or attacks
  • Our Services do not constitute legal, regulatory, or insurance advice

All Services are provided on a professional, commercially reasonable basis.


10. Limitation of Liability

To the maximum extent permitted by law:

  • Asylum X shall not be liable for indirect, incidental, special, or consequential damages
  • Our total liability shall not exceed the amount paid by you for the specific Services giving rise to the claim

This limitation applies regardless of the theory of liability.


11. Indemnification

You agree to indemnify and hold harmless Asylum X from claims, damages, losses, or expenses arising from:

  • Unauthorized system access provided by you
  • Misuse of our Services
  • Violation of applicable laws or third‑party rights

12. Termination

Either party may terminate Services:

  • As permitted by the applicable agreement
  • Immediately for material breach not cured within a reasonable period

Upon termination:

  • Outstanding fees become immediately due
  • Access to systems is revoked
  • Confidentiality obligations survive termination

13. Suspension of Services

We reserve the right to suspend Services if:

  • Payment obligations are not met
  • Continued service would pose legal, ethical, or security risks
  • Required cooperation or access is withheld

14. Governing Law & Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict‑of‑law principles.

Any disputes shall be resolved exclusively in state or federal courts located in Florida.


15. Force Majeure

Neither party shall be liable for delays or failures caused by events beyond reasonable control, including natural disasters, power failures, or acts of government.


16. Changes to These Terms

We may update these Terms from time to time. Updates will be posted with a revised “Last Updated” date. Continued use of our Services constitutes acceptance of the updated Terms.
